Terms and Conditions of Sale

ARTICLE 1: BUSINESS INFORMATION

These Terms of Sale govern the contractual relationship between:

VegaLine, represented by Gaëlle Penouilh,
Sole Proprietor (Micro-Enterprise),
Registered under SIRET number: 914 194 972 00016,
Registered address: 20 Rue des Colonies, 24000, France,

(hereinafter referred to as the “Service Provider”)

and any individual or legal entity wishing to benefit from the services offered

(hereinafter referred to as the “Client”).


ARTICLE 2: SERVICES PROVIDED

VegaLine offers the following services:

Graphic Design

  • Visual identity design (logos, brand guidelines)
  • Communication materials (flyers, posters, social media graphics)

Video Editing

  • Social media videos (Reels, TikTok, YouTube)
  • Promotional and professional videos

On-Site Video Production

  • Event coverage (parties, launches, professional events)
  • On-location content creation

Additional Services

  • Visual retouching
  • Digital content optimization

Services are available to both private individuals and businesses.


ARTICLE 3: ACCEPTANCE OF THE TERMS

Any order placed implies full acceptance of these Terms of Sale by the Client.

The Client acknowledges having read and understood these Terms before confirming an order.

The Service Provider reserves the right to modify these Terms at any time. The applicable version shall be the one in force on the date of the order.


ARTICLE 4: ORDERS AND QUOTATIONS

Process

  1. Initial contact (website, email, or social media)
  2. Needs assessment
  3. Personalized quotation
  4. Approval of the quotation
  5. Payment (deposit or full amount)

Order Confirmation

An order is confirmed once:

  • The quotation has been accepted
  • The deposit or full payment has been received

The Service Provider reserves the right to refuse a project due to unavailability, unsuitable requests, or previous disputes.


ARTICLE 5: PRICING

All prices are stated in Euros (€).

Under Article 293 B of the French Tax Code, VAT is not applicable.

Prices may be:

  • Fixed
  • Or specified through a custom quotation

ARTICLE 6: PAYMENT TERMS

Payments may be made by:

  • Bank transfer
  • Any other payment method agreed upon by both parties

Conditions

  • A deposit of 30% to 50% is required before work begins
  • The remaining balance is payable upon delivery or according to an agreed payment schedule

Late payments may result in:

  • Suspension of the project
  • Additional late payment fees

ARTICLE 7: DEADLINES AND PROJECT EXECUTION

Project deadlines are specified in the quotation.

Delivery times may vary depending on:

  • The complexity of the project
  • The responsiveness of the Client

Any delay caused by the Client may result in an extension of the delivery schedule.


ARTICLE 8: ON-SITE VIDEO PRODUCTION SERVICES

For video production services:

  • The Client agrees to provide all necessary information (location, schedule, access requirements)
  • Travel expenses may be charged separately and will be specified in the quotation

In the event of cancellation by the Client:

  • More than 7 days before the scheduled date: the deposit may be refunded depending on the circumstances
  • Less than 7 days before the scheduled date: the deposit will be retained

Important: In case of unforeseen circumstances (weather conditions, safety concerns, technical issues), the shoot may be postponed.


ARTICLE 9: CLIENT OBLIGATIONS

The Client agrees to:

  • Provide complete and accurate information
  • Respond promptly during the project
  • Hold the necessary rights to any content supplied

The Client remains solely responsible for all materials provided.


ARTICLE 10: RIGHT OF WITHDRAWAL

In accordance with applicable legislation, the Client has a period of 14 days to exercise their right of withdrawal, provided that the service has not yet begun.

If the Client expressly requests immediate commencement of the service, this right is waived.


ARTICLE 11: CANCELLATION

  • Deposits are non-refundable except in exceptional circumstances
  • Any work already started remains fully payable

ARTICLE 12: DELIVERY OF SERVICES

Deliverables are provided in digital formats such as PNG, JPG, MP4, PDF, and others as agreed.

Any additional revisions beyond those included in the quotation may be subject to additional charges.


ARTICLE 13: INTELLECTUAL PROPERTY

All creations remain the property of the Service Provider until full payment has been received.

Upon full payment:

  • The Client receives the agreed usage rights
  • The Service Provider retains the right to showcase the work in their portfolio unless otherwise agreed in writing

ARTICLE 14: LIABILITY

The Service Provider is bound by an obligation of means rather than an obligation of result.

The Service Provider cannot be held liable for:

  • Results obtained through the use of the delivered work
  • Decisions made by the Client based on the delivered work

ARTICLE 15: CONFIDENTIALITY

All information exchanged between the parties shall remain strictly confidential.


ARTICLE 16: PERSONAL DATA

Personal data collected is used solely for the purpose of managing the business relationship.

The Client has the right to access, modify, and request deletion of their personal data in accordance with applicable regulations.


ARTICLE 17: DISPUTES

In the event of a dispute, both parties agree to seek an amicable resolution before taking legal action.

Failing such resolution, jurisdiction shall be granted to the competent courts of Bordeaux, France.
